This Digital Product License Agreement is made effective when you purchase and download Tamara Bryan’s (licensor) digital product. This Agreement sets forth the terms and conditions governing the your use of the digital product ("Product") provided by Bryan

1. License Grant

• Non-Exclusive License: Subject to the terms and conditions set forth in this Agreement, Bryan grants you a limited, non-exclusive, non-transferable, and revocable license to use the Product solely for personal or classroom use as described in Section 2.

• Product Description: The Product covered under this Agreement includes the digital Stencil Class as written and created by Tamara Bryan.

2. Permitted Uses

With this license you may:

• Download, access, and use the Digital Product for personal use or classroom use, depending on which license you purchased.

• Incorporate the Product in non-commercial projects, products, or services.

3. Prohibited Uses

You may not:

• Redistribute, sublicense, sell, lease, lend, or rent the Product, or otherwise make it available to third parties, except as permitted by this Agreement.

• Share the Product on any third-party platforms, file-sharing sites, or similar resources without explicit permission from Bryan.

• Reverse engineer, decompile, disassemble, or attempt to extract the source code from the Product, if applicable.

• Use the Product in any manner that infringes on the intellectual property rights or moral rights of Bryan or violates any laws or regulations.

4. Ownership and Intellectual Property

• Bryan retains all rights, title, and interest in and to the Product, including any associated intellectual property rights. Bryan does not acquire any ownership rights in the Product.

• This Agreement grants only a limited, non-exclusive license to use the Product in accordance with the terms herein and does not transfer any intellectual property rights.

5. Term and Termination

• Term: This Agreement shall become effective on the date the Product is downloaded or accessed by you and shall remain in effect unless / until terminated.

• Termination Bryan: Bryan may terminate this Agreement if you breach any terms of this Agreement. Upon termination, you must immediately cease all use of the Product and delete any copies of the Product.

• Termination by Licensee: You may terminate this Agreement at any time by ceasing use of the Product and deleting any copies in your possession.

6. Refund Policy

• Due to the digital nature of the Product, you agrees that all sales are final, and no refunds will be provided once access to the Product is granted. Refunds may only be issued if the Product is defective and the defect cannot be rectified by Bryan within 14 days of notification.

7. Limited Warranty and Disclaimer

• Bryan warrants that they have the right to license the Product to the you under this Agreement.

• Disclaimer: Except as expressly stated, the Product is provided "as is," without any warranties or conditions, express or implied. Bryan disclaims all other warranties, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

8. Limitation of Liability

• To the maximum extent permitted by applicable law, in no event shall Bryan be liable for any indirect, incidental, special, punitive, or consequential damages, including lost profits, data loss, or loss of business, arising out of or related to the use or inability to use the Product, even if Bryan has been advised of the possibility of such damages.

• Bryan’s total liability under this Agreement shall be limited to the license fee paid by the you.

9. Indemnification

• You agree to indemnify, defend, and hold harmless Bryan from and against any claims, liabilities, damages, losses, or expenses, including legal fees, arising out of or related to your use of the Product in a manner inconsistent with the terms of this Agreement.

10. Confidentiality

• You agree to keep all non-public, confidential, or proprietary information provided by Bryan, including the Digital Product itself, in strict confidence and not disclose it to any third party without Bryan’s prior written consent.

11. Updates and Support

• Product Updates: Bryan may provide updates or enhancements to the Product at their discretion. You acknowledges that you may be required to download the updated version to continue using the Product.

• Support: Bryan may, but is not obligated to, provide technical support, maintenance, or troubleshooting assistance for the Product.

12. Governing Law and Dispute Resolution

• This Agreement shall be governed by and construed in accordance with the laws of the State of Oregon, USA, without regard to its conflict of law principles.

• This product license agreement shall be controlled under the law of the State of Oregon, USA without regard to its conflict of law provisions or the conflict of law provisions of any other jurisdiction. You hereby agree that any breach of the terms of this License shall cause irreparable harm to Tamara Bryan the extent of which cannot reasonably be ascertained and that Tamara Bryan shall be entitled to seek injunctive relief without the requirement of bond in addition to any remedies available under law. All remedies shall be cumulative in nature. You further consent to the personal jurisdiction of the Oregon state and federal courts waive any defenses to the selection of law and forum and agree to service of process by certified mail, return receipt requested.

13. Entire Agreement

• This Agreement constitutes the entire understanding between the parties concerning the Product and supersedes any prior agreements, representations, or understandings, whether oral or written, between the parties.

• Any modifications to this Agreement must be in writing and signed by both parties.

14. No Waiver

• The failure of either party to enforce any provision of this Agreement shall not constitute a waiver of their rights under this Agreement.

15. Severability

• If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

16. Acknowledgment and Acceptance

• By purchasing, downloading, and installing the Product, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions of this Agreement.
